Aims

The course aims to help students learn and master the key concepts of business and company law in Hong Kong, and apply what they have learned in the business environment in which Hong Kong companies operate.

Contents

The course covers the following topics:

  • The Hong Kong legal system
  • Contract Law I
  • Contract Law II
  • Law of Tort
  • Business structures and their legal framework
  • Capitalization, financing and capital reconstruction
  • Corporate management
  • Raising loans, winding up and liquidation
  • Disclosure obligations and market misconduct
  • Interaction of corporate governance, competition law and the boardroom

Learning support

There will be seven three-hour tutorials and one six-hour day school.

Assessment

There are two assignments and one examination. Students must use Microsoft Word to prepare the assignments and submit the assignments via the Online Learning Environment (OLE).

Equipment

Students will need access to a personal computer with an Internet connection.

There are no set books for this course, but students will receive access to HKICS online study material as part of the course.
