Aims

The course aims to provide students with a comprehensive understanding of the essential knowledge and skills required for a company secretary in private, non-governmental organisations and listed companies in Hong Kong. Topics in the course focus on the relevant laws, rules, codes and regulations directly relevant to company secretarial tasks, including the Companies Ordinance (Cap. 622), the Companies (Winding Up and Miscellaneous Provisions) Ordinance (Cap. 32), the Listing Rules, the Securities and Futures Ordinance (Cap. 571), as well as the Codes on Takeovers and Mergers and Share Buy-backs in Hong Kong.

  • Formation of the company
  • The board of directors
  • Company secretary and members
  • Meetings
  • The nature and principles of the company's regulatory requirements
  • Continuing obligations of listed companies
  • Best practices in the company secretarial function
  • Board dynamics

Learning support

There will be ten two-hour online lectures and two six-hour compulsory face-to-face day schools.

The dates for the compulsory face-to-face day schools are as follows:

Assessment

There are two individual assignments, two application-based assessments and one examination. Assignments should be prepared with Microsoft Word, and submitted to Turnitin for plagiarism checking via the Online Learning Environment (OLE).

Equipment

Students will need access to a personal computer with an Internet connection.

Set book(s)

There are no set books for this course, but students will receive access to HKCGI online study material as part of the course.

Remarks

This is a two-term course starting in the Spring Term with teaching activities in the Summer Term. The course will end in the Summer Term.
