Aims

The course aims to provide learners with a sound foundation in the legal framework of incorporating, maintaining and dissolving a company in Hong Kong. It focuses on the application of relevant theories to secretarial practices and compliance faced by a company secretary in the commercial field or by a listed company. The course also provides students with a general understanding of the importance of boardroom dynamics for organisations and their impact on the enhancement of boardroom performance.

Contents

The course covers the following topics:

  • Formation of Hong Kong companies and registration of non-Hong Kong companies
  • Company directors, company secretaries, auditors and company meetings
  • Equity and debt financing, registration of charges and disclosure of financial and price-sensitive information and interest in shares and debentures
  • Capital reconstruction, schemes of arrangement, takeovers and mergers, receivership and dissolution of companies
  • Equal opportunities and protection of personal data legislation
  • The importance of boardroom dynamics for organisations
  • Application of the principles of boardroom dynamics in enhancing board performance

Learning support

There will be ten two-hour online lectures, and two six-hour compulsory face-to-face day schools.

Assessment

There are two individual assignments, two application-based assessments and one examination. Assignments should be prepared with Microsoft Word, and submitted to Turnitin for plagiarism checking via the Online Learning Environment (OLE).

Equipment

Students will need access to a personal computer with an Internet connection.

Set book(s)

There are no set books for this course, but students will receive access to HKCGI online study material as part of the course.

Remarks

This is a two-term course starting in the Spring Term with teaching activities in the Summer Term. The course will end in the Summer Term.
