Aims

The overall aims of this course are to develop students' knowledge of corporate governance principles and practices in depth; equip students with the knowledge and skills to make recommendations to a company's board of directors on corporate governance issues; introduce formal and informal methods to enhance boardroom performance; and prepare students to anticipate and address future concerns in corporate governance in Hong Kong, Chinese Mainland, and around the globe.

Contents

This course covers the following topics:

Governance in management decisions
Regulatory requirements on corporate governance
Roles, duties and powers of the board
Psychology and dynamics of the board
Culture and the board
Non-financial reporting
Board and senior executive evaluation
Risk management and internal control

Learning support

There will be a total of 60 contact hours, including lectures and tutorials.

Assessment

Assessment for this course involves two assignments, class participation and one examination.
