Aims
The overall aims of this course are to develop students' knowledge of corporate governance principles and practices in depth; equip students with the knowledge and skills to make recommendations to a company's board of directors on corporate governance issues; introduce formal and informal methods to enhance boardroom performance; and prepare students to anticipate and address future concerns in corporate governance in Hong Kong, Chinese Mainland, and around the globe.

- Regulatory requirements on corporate governance
- Roles, duties and powers of the board
- Psychology and dynamics of the board
- Culture and the board
- Non-financial reporting
- Board and senior executive evaluation
- Risk management and internal control
Learning support
There will be a total of 60 contact hours, including lectures and tutorials.
Assessment
Assessment for this course involves two assignments, class participation and one examination.
